1. Acceptance of Terms
Hubix Technologies (“Hubix,” “we,” “us,” or “our”) operates this website (hubixtech.com) from Karachi, Pakistan. By using this website or engaging our services, you agree to these Terms of Service. If you do not agree, please do not use our website or services.
These terms describe how every engagement works. Each project is also governed by a signed agreement and a Statement of Work (“SOW”) setting out its scope, price and timeline. Where a signed agreement or SOW differs from these terms, the signed document prevails.
2. Services
Hubix provides custom software and digital services, including:
- Web Development, including e-commerce
- CRM & ERP Systems
- Business Process Automation
- Mobile App Development
- UI/UX Design
- Database Design & Optimization
- Digital Marketing & SEO
Specific deliverables, timelines, and pricing for each engagement are agreed in writing before work begins.
3. Quotations and Scope
Before quoting, we run a requirements session with you, by video call or in person for clients in Karachi. Projects are priced to their scope, based on the modules, features and complexity involved, and the agreed price is fixed for that scope. There is no minimum project size.
A change to the agreed requirements after work has started is a scope change, not a revision. We will assess whether the change is genuinely needed; if it goes ahead, it is issued as a new quotation with a revised timeline, and work on it begins once that quotation is accepted.
Work is currently quoted per project. Hourly billing may be offered in future, at a single standard rate for all clients.
4. Payment
Unless the SOW states otherwise, payment is made in three stages:
- 30% before work starts, securing the schedule and covering discovery and design;
- 40% when development is complete and signed off by you; and
- 30% at deployment and handover, after final testing.
Local clients are invoiced in Pakistani rupees (PKR). International clients are invoiced in US dollars (USD), or in another currency where agreed in writing. Payment is made by the method stated on the invoice. Invoices are due by the date stated on them.
Unless the quotation or invoice states otherwise, all bank, transfer and currency-conversion charges are borne by the client, so that Hubix receives the full invoiced amount.
Clients who pay 100% of the project price up front receive priority scheduling. Any discount is by mutual agreement, case by case.
5. Late Payment
We send a reminder before each payment falls due. If a payment has not been received by its due date, a grace period of five days applies.
If payment is still outstanding after the grace period, we may pause all work on the project, and a one-time late fee of 5% of the outstanding balance becomes payable. This fee is charged once, not monthly. Once work is paused, the agreed delivery date no longer applies; a new timeline is set when payment is received and work resumes.
6. Third-Party Costs and Licences
Domain names, software licences, subscriptions, app store fees, and cloud or hosting charges incurred for your project are re-invoiced to you. Where a licence or subscription must be renewed to stay valid, renewal is your responsibility after delivery.
Where a project incorporates third-party assets (including stock photography, premium plugins, licensed fonts, open-source libraries, or other licensed software components), those assets remain the property of their original licensors, not of Hubix or the client. You receive the right to use them as integrated into your delivered product, subject to the terms of the applicable licence. Those licence terms apply to your use of the product and continue to apply after the project ends. We will identify paid components that carry renewal costs before final delivery.
7. Intellectual Property and Handover
At handover, you receive the deployed, working product, set up and live, together with your accounts, your data, and user documentation explaining how to operate it.
Hubix retains ownership of the source code, and of all pre-existing components, starter kits, frameworks, methodologies and underlying logic used in delivering the project, which we reuse across projects. Technical documentation is produced for every project and retained by Hubix.
What is unique to you (your branding, your content, your data, and configuration specific to your business) remains yours, and is never shared with or reused for another client.
Any transfer of source-code rights or other intellectual property takes place only where expressly granted in the SOW, and where granted, takes effect only once all amounts due have been paid in full. Absent such an express grant, all such rights remain with Hubix.
8. Client Responsibilities
You are responsible for providing accurate requirements and for supplying the content your project needs (text, images, brand assets and any other materials), along with login details for hosting or other accounts where we are setting these up for you.
Requested materials should reach us within three days of our request, with a further two-day grace period. If they have not arrived by then, the current delivery date no longer applies, and a new date is set once they are received. The same applies to reviews and approvals: delays on your side move the timeline accordingly.
9. Delivery, Review and Revisions
A staging environment is provided so you can review your project before it goes live, and you can test it hands-on from the testing stage onwards. Final delivery means deployment and setup of the live product.
Two rounds of revisions are included. Further rounds, and any change to the agreed requirements, are charged separately.
10. Warranty and Support
For 30 days after delivery, we fix bugs in our own work free of charge and provide general support. Support requests are answered within 48 hours, working on Pakistan time.
Our working hours are set in Pakistan Standard Time (PKT, UTC+5). Unless the SOW provides otherwise, our services do not include round-the-clock availability. For clients in other time zones, meeting times, progress updates and the handling of urgent requests are set out in the SOW.
The warranty covers defects in work we delivered. It does not cover new features; content, design or other edits; problems caused by changes made by anyone other than Hubix; or problems caused by changes to third-party platforms, services or APIs. Work in these categories is billed as new work.
After the 30-day period, work falls under a monthly maintenance plan or is quoted separately. The maintenance plan is a flat monthly fee covering bug fixes and minor updates; anything beyond that is billed separately.
11. Third-Party Services and Hosting
Where your product relies on a third-party service, such as a payment gateway, hosting provider, API or platform, its availability, changes and discontinuation are outside our control and our responsibility. We can help reconnect, adapt or replace an affected integration; that work is billable.
Hosting arranged by Hubix is supplied by a third-party provider on that provider’s own terms, and its availability is the provider’s. Hubix gives no uptime or performance guarantee.
12. Limitation of Liability
Our services are provided in good faith. Our total liability for any claim arising from a project shall not exceed the total amount paid by the client for that specific engagement. We are not liable for indirect, incidental, or consequential losses.
13. Confidentiality
We treat your business information, requirements and data as confidential. A non-disclosure agreement is available on request, and can be signed before the requirements session if you would like one in place first; otherwise, confidentiality terms form part of your project agreement.
Everyone working on your project is bound by confidentiality. Access to your systems and data is limited to what the project needs, and is revoked after delivery.
14. Portfolio and Publicity
We showcase only work built specifically to demonstrate our own capabilities. We do not publish clients’ projects, and anything we show has client-identifying details removed.
15. Termination and Cancellation
Either party may end a project for convenience by giving the other at least seven days’ written notice, unless the SOW states a different notice period. Rights and obligations that arose before termination are not affected.
Either party may terminate for material breach if the breach is not remedied within seven days of written notice describing it. Hubix may suspend or end services immediately where reasonably necessary in cases of fraud, unlawful activity, a serious confidentiality or security breach, abuse or harassment of our personnel, or conduct that creates a material legal, security or operational risk.
If you cancel a project before it is complete:
- amounts already paid are non-refundable, and are treated as full and final settlement for the work performed up to the date of cancellation;
- nothing further falls due for work performed: if you have paid 40% and cancel, you owe nothing more;
- third-party costs already incurred for your project, such as domains, licences, subscriptions and platform fees, remain payable, whether or not they have yet been invoiced;
- no deliverable, deployment, build or source code is handed over for an incomplete project; and
- Hubix retains the work produced, and may remove all client-identifying material from it and develop, complete and use it as its own product.
This reflects the capacity we commit to your project, the scheduling of it in preference to other work, and the costs we incur from the start of an engagement. It is a genuine estimate of what cancellation costs us, not a penalty.
If Hubix ends a project other than because of your breach, we will give notice as above, refund any prepaid amount not yet earned (assessed against work performed, milestones completed and approved expenses, less third-party costs already incurred), and reasonably cooperate in releasing completed work you have paid for. Where we end a project because of your material breach, including non-payment, we may withhold unfinished work until outstanding amounts are paid.
No refunds are given once a project has been delivered. Any fee identified in the SOW as non-refundable is treated as such.
On termination, work on the project stops; amounts due before termination remain payable; each party returns or securely deletes the other’s confidential information, subject to lawful retention requirements; and the provisions of these terms on payment, confidentiality, intellectual property, limitation of liability, disputes and governing law continue to apply. Termination does not affect any right or remedy either party had before it.
16. Disputes
If a dispute arises, both parties will first try in good faith to resolve it directly. The party raising it sends written notice describing the issue and the resolution sought, and the parties then have fifteen business days to resolve it through discussion between their designated representatives. Nothing in this clause prevents either party from seeking urgent or interim relief to protect its rights, confidential information or intellectual property.
Day-to-day complaints should go to your usual Hubix contact first. Formal notices of termination, material breach or a legal dispute should be sent to hubixtechnologieslimited@gmail.com. We may designate a different address for notices by giving you reasonable written notice.
17. Governing Law
Unless otherwise agreed in writing, these terms and every engagement are governed by the laws of the Islamic Republic of Pakistan, and the courts of competent jurisdiction in Karachi, Sindh, Pakistan have jurisdiction over any dispute.
For clients outside Pakistan, the SOW may instead provide for arbitration, setting out the rules or institution, the seat, the number and appointment of arbitrators, the language, the governing law and how costs are allocated. We may require arbitration for international projects of significant value or complexity.
18. Changes to These Terms
We may update these Terms of Service from time to time. The date at the top of this page reflects when they were last revised. Continued use of our website or services after any changes constitutes your acceptance of the updated terms.
